"Client," "you," "your" refers to any individual or business that uses our website or engages our services.
"Services" refers to all offerings provided by AI-Bex, including but not limited to AI-powered lead reactivation, AI receptionist services, missed-call text-back, Google Maps optimization, review automation, A2P compliance assistance, website design, and related marketing services.
2. Services
AI-Bex provides marketing and automation services to businesses. The specific scope, deliverables, pricing, and timeline for any engagement will be defined in a separate agreement, proposal, or statement of work between AI-Bex and the Client.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with reasonable notice where practicable.
3. Performance-Based Services
Certain services, such as lead reactivation, may be offered on a performance basis (e.g., payment per booked appointment). The specific terms, including what constitutes a qualifying result and the applicable fees, will be set out in your individual service agreement.
AI-Bex does not guarantee specific results, revenue, or outcomes. Results depend on numerous factors outside our control, including the quality and size of your lead lists, your market, your responsiveness, and your ability to close the opportunities we generate.
4. Client Responsibilities
By engaging our services, you agree to:
Provide accurate and complete information
Obtain and maintain all necessary consents from your contacts and customers to be contacted via SMS, voice, or other channels, in compliance with all applicable laws including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and A2P 10DLC carrier requirements
Ensure you have the legal right to share any data (including lead lists and customer information) you provide to us
Comply with all applicable laws and regulations in connection with the services
Make timely payments as agreed
Cooperate with us as reasonably necessary to deliver the services
You acknowledge that you, not AI-Bex, are responsible for the content of communications sent to your contacts and for ensuring those communications comply with applicable law. You agree to indemnify AI-Bex against any claims arising from your failure to obtain proper consent or comply with applicable laws.
5. Payment Terms
Fees, payment schedules, and billing terms will be specified in your individual service agreement.
Payments are processed through third-party payment processors. By making a payment, you agree to the terms of the applicable processor.
Late or missed payments may result in suspension of services.
Unless otherwise stated, fees are non-refundable once services have been rendered.
6. Intellectual Property
All content on our website, including text, graphics, logos, designs, and software, is the property of AI-Bex or its licensors and is protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our content without our prior written permission.
For client work products (such as websites or marketing materials we create for you), ownership and licensing terms will be defined in your individual service agreement.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement, and to use such information only for the purpose of delivering or receiving the services.
8. Third-Party Services and Platforms
Our services may rely on or integrate with third-party platforms and tools. We are not responsible for the availability, performance, or policies of these third parties. Your use of any third-party platform is subject to that platform's own terms and conditions.
9. Disclaimers
Our website and services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, AI-Bex disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that our website or services will be uninterrupted, error-free, or free of harmful components, or that any specific results will be achieved.
10. Limitation of Liability
To the fullest extent permitted by law, AI-Bex and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, arising from your use of our website or services.
In no event shall our total liability to you for all claims arising out of or relating to these Terms or our services exceed the amount you paid to AI-Bex in the three (3) months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless AI-Bex and its operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation, including TCPA and A2P 10DLC requirements; or (d) your failure to obtain proper consent from your contacts.
12. Termination
Either party may terminate a service engagement in accordance with the terms set out in the applicable service agreement. We reserve the right to suspend or terminate your access to our website or services at any time if you violate these Terms.
Upon termination, any outstanding fees become immediately due, and the provisions of these Terms that by their nature should survive termination (including intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification) will continue to apply.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Massachusetts.

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. Continued use of our website or services after changes are posted constitutes your acceptance of the updated Terms.
